These Terms and Conditions ("Terms") govern your access to and use of the DUIID platform (the "Service"), including the website at duiid.com, the web application, and all related digital products and services. The Service is operated by Manaspurti Technologies Private Limited("Company," "we," "us," or "our"), a company incorporated under the laws of India with its registered office in Panaji, Goa, India.

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

Important: These Terms constitute a legally binding agreement between you and Manaspurti Technologies Private Limited. Please read them carefully before using DUIID.

1. Definitions

For the purposes of these Terms, the following definitions apply:

"Service" refers to the DUIID platform, including the web application, mobile application (if any), website, APIs, and all related digital products and services provided by the Company.
"User," "You," or "Your" refers to any individual or entity that accesses or uses the Service, whether or not registered.
"Account" refers to the unique account created for You to access the Service and its features.
"Identity" refers to a digital identity profile created or managed within the Service, including brand names, logos, color palettes, documents, credentials, and associated assets.
"Content" refers to all data, information, text, graphics, logos, documents, files, credentials, and other materials uploaded, generated, or stored within the Service by or for the User.
"Vault" refers to the encrypted storage component of the Service where User Content, including passwords, documents, and brand assets, is stored.
"Subscription" refers to the recurring or one-time payment plan purchased by the User to access premium features of the Service.
"Credits" refers to the virtual units purchased or allocated to the User that can be consumed when using AI-powered features of the Service.
"Third-Party Services" refers to external services, APIs, or integrations that the Service may connect to, including but not limited to Google Firebase, Razorpay, OpenAI, domain registrars, and social media platforms.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that:

You are at least 18 years old and have the legal capacity to enter into a binding contract under the laws of India.
You are not legally prohibited from using the Service under any applicable law.
All information provided during registration is accurate, complete, and current.
You are not using the Service for any illegal, fraudulent, or unauthorized purpose.

2.2 Account Creation

You may register for an account using Google Sign-In or any other authentication method provided by the Service. You are responsible for maintaining the security of your account and for all activities that occur under your account credentials.

You agree to immediately notify the Company at contact@duiid.com if you become aware of any unauthorized use of your account or any other security breach.

2.3 One Account Per User

Each User may maintain only one (1) account at any given time, unless explicitly permitted by the Company in writing. Multiple accounts created to circumvent usage limits, free tier restrictions, or billing requirements may result in immediate termination of all associated accounts without notice.

3. Description of the Service

DUIID is a digital identity management platform that provides the following core capabilities:

Identity Studio: AI-powered tools for generating brand names, checking domain and social handle availability, creating brand kits (logos, color palettes, typography), and building starter websites.
Identity Vault: End-to-end encrypted storage for passwords, credentials, documents, and brand assets, organized by digital identity.
Identity Gateway: Public profile pages, team delegation with granular permissions, and company/brand hierarchy management.
Document Storage: Encrypted file storage tied to specific identities within the Vault.
Password Management: Secure credential storage, generation, and sharing with zero-knowledge encryption.
Shared Access & Delegation: Role-based, time-boxed, revocable access controls for teams and collaborators.

The Company reserves the right to modify, add, or remove features of the Service at any time without prior notice. The availability of specific features may depend on the User's Subscription plan.

4. Subscriptions, Credits, and Billing

4.1 Subscription Plans

The Service offers the following subscription tiers, subject to change:

Free Tier: Limited features including 1 identity, basic brand kit, and up to 50 vault items. Available at no cost for an indefinite period.
Pro Tier: ₹1,500/month (or equivalent in USD) — includes 5 identities, full brand kit exports, unlimited vault items, and advanced sharing features.
Studio Tier: ₹4,900/month (or equivalent in USD) — includes unlimited identities, team access (up to 10 members), API access, and company/brand hierarchy.
Enterprise Tier: Custom pricing — includes SSO, SCIM, dedicated support, and custom contracts.

4.2 Credits System

Certain AI-powered features of the Service consume "Credits." Each Subscription plan includes a monthly allocation of Credits. Users may purchase additional Credit Packs:

100 Credits for ₹100
500 Credits for ₹400
1,000 Credits for ₹700

Credits are non-transferable, non-refundable (subject to the Refund Policy), and expire at the end of each billing cycle. Unused Credits do not carry over to the next billing period.

4.3 Payment Processing

All payments are processed through Razorpay, a third-party payment gateway. The Company does not store your full credit card or banking details. Payment processing is subject to Razorpay's terms of service and privacy policy.

By purchasing a Subscription or Credit Pack, you authorize the Company to charge the applicable fees through Razorpay on a recurring basis (for subscriptions) or as a one-time charge (for credit packs) until the subscription is cancelled.

4.4 Billing Cycle

Subscription fees are billed monthly in advance on the same date each month as the original purchase date. If the billing date falls on a date that does not exist in a given month, the charge will be processed on the last day of that month.

4.5 Price Changes

The Company may change Subscription fees and Credit Pack prices at any time. Price changes for existing Subscribers will take effect at the start of the next billing cycle following at least 30 days' prior notice via email or in-app notification.

5. Acceptable Use Policy

You agree not to use the Service to:

Upload, store, or share any Content that is illegal, defamatory, harassing, hateful, or that infringes upon the intellectual property rights of any third party.
Attempt to gain unauthorized access to the Service, other Users' accounts, or any systems or networks connected to the Service.
Use the Service to store stolen credentials, passwords, or access tokens that you do not have lawful authority to possess.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
Use the Service to send spam, phishing communications, or any unsolicited commercial messages.
Create false identities, impersonate another person or entity, or use a fake identity to deceive others.
Resell, sublicense, or redistribute access to the Service without the Company's written permission.
Use the Service in any manner that could damage, disable, overload, or impair the Service or interfere with any other party's use.
Use automated scripts, bots, or scrapers to access the Service, except through the officially provided API under the terms of an API access agreement.
Store or transmit any malware, viruses, trojans, or other malicious code through the Service.

Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account and forfeiture of any paid Subscription fees or Credits, without refund.

6. User Content

6.1 Ownership

You retain all ownership rights to all Content you upload, generate, or store within the Service. The Company does not claim ownership of your Content. Your Content remains yours at all times.

6.2 License to the Company

By uploading Content to the Service, you grant the Company a limited, non-exclusive, royalty-free license to process, store, and transmit your Content solely for the purpose of operating, maintaining, and improving the Service for you. This license terminates upon deletion of your Content or closure of your account.

6.3 Zero-Knowledge Architecture

The Service uses client-side encryption (zero-knowledge architecture) for Vault contents including passwords, documents, and sensitive credentials. This means your encrypted data is stored on our servers in a form that even the Company cannot decrypt without your encryption key, which is never transmitted to or stored on our servers in plaintext.

Important: If you lose your encryption key or recovery phrase, the Company cannot recover your encrypted Vault data. You are solely responsible for safeguarding your encryption credentials.

6.4 Content Removal

The Company reserves the right to remove or restrict access to any Content that, in the Company's sole discretion, violates these Terms, applicable law, or the rights of third parties. The Company has no obligation to monitor User Content but may do so to comply with legal obligations.

7. AI-Generated Content

The Service uses artificial intelligence (AI) models, including but not limited to large language models and image generation models, to produce Content such as brand names, logos, color palettes, taglines, and design recommendations.

7.1 No Guarantee of Accuracy

AI-generated Content may contain errors, inaccuracies, or offensive material. The Company does not guarantee that AI-generated Content will be accurate, appropriate, commercially usable, or free from third-party intellectual property claims. You are solely responsible for reviewing and verifying all AI-generated Content before using it commercially.

7.2 Intellectual Property of AI Content

The intellectual property status of AI-generated Content is evolving under law. To the extent any AI-generated Content is protectable under intellectual property laws, the Company assigns to you all rights it may have in such Content generated specifically for you through the Service, subject to your compliance with these Terms and the terms of the underlying AI model providers.

7.3 Third-Party AI Providers

AI generation is powered by third-party providers (such as OpenAI). Your use of AI features is also subject to the terms of service of these providers. The Company is not responsible for any limitations, biases, or outputs of third-party AI models.

8. Intellectual Property Rights

8.1 Company IP

The Service, including its design, source code, features, functionality, the "DUIID" name and logo, and all related trademarks, service marks, and trade dress, are the exclusive property of Manaspurti Technologies Private Limited and are protected by Indian and international intellectual property laws.

8.2 Trademarks

"DUIID," the DUIID logo, and any other trademarks, service marks, or trade names used in connection with the Service are the property of Manaspurti Technologies Private Limited. Unauthorized use of any Company trademarks is strictly prohibited.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service to the Company ("Feedback"), you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use, implement, and commercialize such Feedback without any obligation or compensation to you.

9. Account Termination

9.1 Voluntary Termination

You may cancel your account at any time by navigating to Settings within the Service and selecting "Delete Account." Upon termination:

All your Content stored in the Vault will be permanently deleted within 30 days.
All active Subscriptions will be cancelled immediately.
Unused Credits will be forfeited without refund.
All delegated access and shared links will be revoked instantly.
Your public profile (if any) will be removed.

9.2 Termination by the Company

The Company may suspend or terminate your account immediately, without notice, if:

You violate any provision of these Terms or the Acceptable Use Policy.
The Company receives a valid legal order or government directive requiring termination.
Your account has been inactive for more than 12 consecutive months.
The Company discontinues the Service or any material part of it.

9.3 Data After Termination

Upon account termination, the Company will delete all your personal data and Content within 30 days, except where retention is required by law (e.g., financial records under Indian tax law, which may be retained for up to 7 years).

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND SECURITY.

The Company does not warrant that:

The Service will be uninterrupted, error-free, or secure at all times.
AI-generated Content will be accurate, usable, or free from third-party claims.
Domain availability or social handle availability results are 100% accurate or current.
Your data will never be lost or corrupted, despite backup and encryption measures.

You use the Service at your own risk. The Company is not responsible for any loss of data, financial loss, or business disruption resulting from your use of or inability to use the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANASPURTI TECHNOLOGIES PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The total aggregate liability of the Company for all claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to the Company in the three (3) months preceding the event giving rise to the claim, or ₹5,000 (Indian Rupees), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Manaspurti Technologies Private Limited, its directors, officers, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service or violation of these Terms.
Your Content, including any claim that your Content infringes the rights of a third party.
Your violation of any applicable law or the rights of any third party.
Any fraudulent, negligent, or wrongful act by you in connection with the Service.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Panaji, Goa, India.

The parties agree to attempt to resolve any dispute through good-faith negotiation and, if necessary, mediation before initiating litigation, except where injunctive relief is sought to protect intellectual property or confidential information.

14. Changes to These Terms

The Company may update or modify these Terms at any time. Material changes will be notified to Users via email and/or in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and request account deletion.

The "Last Updated" date at the top of this document indicates when these Terms were last revised.
